|Orgalime S 2012 stipulates in Clause 47 that the COntraxt shall be governed by the substantive law of the Supplier's country. It can be the supplier's national law but mostly the United Nations on Contracts for the International Sale of Goods (CISG) will apply. This means that the convention is filling in when something is not stipulated in the contract.|
A traditional commentary of the convention is based on the contents of the convention and law cases and what the authors have written of those (the doctrine). The intention by this commentary is to find a solution of the dispute involved when Orgalime S 2012 and the convention is applicable.
The convention is based on general sales of goods without special regard to any kind of business such as mechanical, electrical and electronic products. This commentary is not only a commentary to the United Nations Convention on Contracts for the international Sale of goods but also a commentary when Orgalime S 2012 is applicable instead of the convention especially regarding the delay, liability for defects, Incoterms 2010, disputes and applicable law.
